Terms and conditions — AITarea

1. Acceptance

These terms and conditions govern use of the AITarea website and purchase of the AITarea software license. By checking the legal acceptance boxes, confirming email and completing payment, the customer declares having read and accepted these terms, the legal notice and the privacy policy.

2. Subject matter of the contract

The subject matter is the grant of a <strong>non-exclusive, non-transferable license of use</strong> of the AITarea software program, desktop software for Windows designed to orchestrate artificial intelligence agents for executing requests and projects on the customer's machine (local-first model).

The license includes, unless otherwise stated on the pricing page:

• Right to use the software on the customer's Windows machines under these terms.
• Access to product updates for <strong>1 year</strong> from payment confirmation.
• Download and installation instructions after payment confirmation.

Ownership of the software or its source code is not transferred. Custom development, on-site consulting and 24/7 support are not included unless otherwise agreed in writing.

3. Technical requirements and customer responsibilities

To use AITarea the customer must have, at minimum:

• Windows 10 or 11 operating system (64-bit).
• .NET 8 Runtime.
• Internet connection for AI model calls.
• Their own AI provider API key of their choice.
• Adequate hardware and disk space for workspaces and logs.

Costs, limits and conditions of AI providers (or other third parties) are outside Black Mamba System S.L. and are entirely the customer's responsibility. The customer is responsible for reviewing, validating and approving any result generated with the software.

4. Price, VAT and invoicing

The license price is 1.735,00 € + VAT (21%), i.e. a total of 2.099,35 € in a one-time payment, as published on the pricing page at the time of purchase.

The customer must provide <strong>real and complete company billing details</strong> (legal name, tax ID, billing address and contact details). The invoice will be issued with that information. The customer is responsible for its accuracy.

5. Purchase and payment process

1. The customer completes the purchase form with billing details.
2. Accept the legal notice, privacy policy and these terms.
3. Confirm your billing email using the code sent to your inbox.
4. Pass the security captcha and you are redirected to the Mollie payment gateway.
5. The contract is finalized when payment is confirmed by Mollie.

After payment confirmation, Black Mamba System S.L. will contact the customer at the email provided to deliver access, download or installation instructions.

6. License of use and restrictions

You are authorized to:

• Install and use AITarea on Windows machines controlled by the customer.
• Use the software for the customer's lawful professional purposes.

The following is prohibited unless Black Mamba System S.L. gives written authorization:

• Resell, rent, sublicense or redistribute the software or installer.
• Circumvent technical protection measures or perform reverse engineering not permitted by law.
• Use the software for unlawful, fraudulent activities or to harm third-party rights.
• Share access credentials or updates with unauthorized third parties.

7. Updates

For 1 year from confirmed payment, the customer may receive product updates according to the channel and procedure indicated by Black Mamba System S.L.. After that period, use of the installed version may continue under the granted license, but the right to new updates may require a new purchase or renewal, if offered.

8. Nature of the software and disclaimer for use

AITarea is an assistance tool based on AI agents. It <strong>does not replace</strong> the customer's technical, professional or legal judgment. Black Mamba System S.L. provides the software and how it works; it does not control or assume responsibility for:

• Instructions, prompts or data the customer provides to the system.
• Code, documents or other results generated or executed with the software.
• Damages arising from use or misuse, data loss, business interruption or third-party violations, to the maximum extent permitted by law.

The software is provided «as is», without warranty of uninterrupted availability or that AI results are correct, complete or suitable for a particular purpose.

9. Right of withdrawal

If the customer acts as a consumer, they may exercise the right of withdrawal within the periods and conditions provided by consumer law. However, for digital content or software not supplied on a physical medium, the right of withdrawal may not apply when the customer has given prior express consent to start performance and acknowledged that they lose that right once delivery begins, as legally established.

If the customer acts as a business or professional, consumer withdrawal rules do not apply unless otherwise agreed in writing.

10. Support

Access, download or billing issues may be reported to info@blackmambasystem.com or via the contact form. Response times will be reasonable during business hours and do not constitute a guaranteed SLA unless specifically agreed.

11. Changes

Black Mamba System S.L. may modify these terms for future purchases. Changes will not affect contracts already finalized unless required by law or expressly accepted by the customer. The current version will be the one published on this page.

12. Governing law and jurisdiction

These terms are governed by Spanish law. For dispute resolution, consumer protection rules apply where relevant; otherwise, the competent courts under the law.
